These Terms of Service (“Terms”) apply to your use of detroitautomatictooling.com and to inquiries, quotes and sales of industrial tooling and components by Detroit Automatic Tooling, Inc. (“Detroit Automatic Tooling,” “we,” “us”) to commercial and manufacturing customers (“you,” “Customer”). By using the website, requesting a quote or placing an order, you agree to these Terms. If a written quote, order acknowledgment or invoice from us states different terms for a specific transaction, those transaction terms apply to that transaction.
02Products and website information
We distribute industrial tooling, replacement parts, machine attachments and related components, including threading equipment, thread rolls, chasers, machine components and precision tooling, sourced from industrial manufacturers. This website describes product categories only. It is not a priced catalog and does not state inventory. Illustrations on this website are generic graphics and do not depict a specific product, inventory item or customer project.
03Product inquiries
Submitting an inquiry or request through the website, by email or by phone is a request for information. It is not an order and does not create a contract. We review each inquiry and respond using the contact details you provide.
04Quotes and pricing
A quote is based on the information you give us and describes the items, quantities and terms offered. Unless the quote says otherwise, it is valid only for the period stated in the quote, and pricing is subject to change before an order is accepted. Prices do not include taxes, duties, freight or other charges unless the quote says they are included. We may correct errors in a quote or invoice. Pricing is not published on this website and is provided by quote.
05Product availability
Availability depends on manufacturers and suppliers and can change. Any lead time or delivery estimate we give is an estimate, not a guarantee. We confirm availability for your specific request in the quote or order acknowledgment.
06Customer specifications and responsibility
You are responsible for the accuracy and completeness of the information you give us, including machine information, applications, thread or tooling requirements, drawings, manufacturer and part numbers, and quantities. We work from that information. Compatibility and suitability of any product for your machine, process or application are your determination. Please confirm them before ordering and before use. You are responsible for using products safely and in accordance with applicable laws and the manufacturer’s instructions.
07Orders and purchase orders
Where you place an order, including by purchase order, the order is accepted only when we confirm it in writing, such as by order acknowledgment or invoice. Purchase order terms that add to or conflict with these Terms or our quote do not apply unless we agree to them in writing.
08Invoices and payment
Payment is due as stated on the quote or invoice. Where invoice-based payment is offered, you agree to pay each invoice by the due date using a payment method we accept. We may require payment in advance, in whole or in part, or decline to extend invoice terms. Late amounts may be subject to charges where stated on the invoice or permitted by law. You are responsible for applicable taxes unless you provide a valid exemption certificate.
09Deposits and advance payments
Where a quote or order calls for a deposit or advance payment, we may not place or process the order until that payment is received. Any treatment of a deposit, including whether all or part is non-refundable for special-order items, is stated in the quote or order acknowledgment.
10Order changes and cancellations
Requests to change or cancel an order must be made to us in writing. Because we source products from manufacturers, an order may not be changeable or cancellable once it has been placed with a manufacturer or supplier, or where the item is special-order, non-stock or made or modified to your requirements. Where a change or cancellation is accepted, you may be responsible for costs we have incurred, as stated when we accept the request.
11Shipping and delivery
Where shipping applies, the shipping method, charges and any estimated delivery date are stated in the quote or order acknowledgment. Unless we agree otherwise in writing, risk of loss passes to you when we deliver the goods to the carrier. Delivery dates are estimates, and we are not liable for delays caused by manufacturers, carriers or events beyond our control. If you arrange your own freight, you are responsible for that carrier.
12Receiving and inspection
Please inspect each shipment promptly on receipt and compare it to your order. Report visible damage, shortages or incorrect items to us in writing as soon as possible, and note damage on the carrier’s delivery documents. Failure to report promptly may affect our ability to assist with a claim or adjustment.
13Returns
Where returns are available, they are accepted only with our prior written authorization, and the item must be returned as we direct and in the condition we specify. Special-order, non-stock and made-to-order items, and items modified after delivery, may not be returnable. Any conditions or charges that apply to an authorized return are stated when we authorize it. Please contact us before sending any item back.
14Manufacturer warranties and disclaimer
Detroit Automatic Tooling, Inc. distributes products made by industrial manufacturers. A warranty applies only where one is actually provided, and only on the terms of the manufacturer or as stated in writing on our quote or invoice. We do not make a warranty that is not stated in writing.
Except for any written warranty described above, and to the fullest extent permitted by law, products and website content are provided “as is,” and we disclaim all other warranties, express or implied, including implied warranties of merchantability and fitness for a particular purpose.
15Limitation of liability
To the fullest extent permitted by law, Detroit Automatic Tooling, Inc. will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost production, downtime or loss of data, arising from the products, the website or these Terms. Our total liability for any claim relating to a product or order will not exceed the amount you paid us for the specific product or order giving rise to the claim.
Nothing in these Terms limits liability that cannot be limited under applicable law.
16Website use and intellectual property
The website content, including text, graphics and logos, belongs to Detroit Automatic Tooling, Inc. or is used with permission. You may view it for your own business purposes but may not copy, modify or reuse it without our written permission. Manufacturer names or product names that appear on any quote or invoice belong to their respective owners.
17Events beyond our control
We are not responsible for delay or failure to perform caused by events beyond our reasonable control, including manufacturer or supplier delays, carrier disruption, shortages, labor disputes, government action, severe weather or utility or network failures.
18Governing law
These Terms and any dispute arising from them or from products we supply are governed by the laws of the State of Michigan, without regard to its conflict-of-laws rules. You agree that the state and federal courts located in the State of Michigan are the proper venue for disputes, except where applicable law requires otherwise.
19Changes to these Terms
We may update these Terms from time to time. The “Last updated” date at the top of this page shows when they last changed. The Terms in effect when we accept your order apply to that order.
20General
These Terms, together with any written quote, order acknowledgment and invoice, are the entire agreement between you and us on their subject. If any part is found unenforceable, the rest remains in effect. A failure to enforce a provision is not a waiver of it.
